Terms of Service
Last updated 5 November 2026
In short: you keep everything that is yours — your content, your code, your domains, your data. Hoila prepares changes as drafts; you decide what is published. We charge in CHF for the plan and for what goes beyond it, and you can leave at any time with your code.
These Terms of Service ("Terms") govern your use of Hoila ("Hoila", the "Service"), provided by Ampersand Labs by Davide Morotti, Flüelastrasse 10, 8048 Zürich, Switzerland — UID CHE-497.974.362 ("Ampersand Labs", "we", "us"). By creating an account or using the Service, you ("Customer", "you") accept these Terms.
1. The Service
Hoila lets you change websites and apps by describing the change in plain language. An AI assistant prepares the change as a draft; you can preview it and decide whether to publish it. Hoila can connect to WordPress websites (through a plugin), to other websites (through SFTP, FTPS or FTP), and can host apps on its own infrastructure. Some features need third-party services, such as domain registration, databases or analytics.
2. Accounts and teams
You must give accurate information, keep your password and any second factor safe, and be at least 18 years old or otherwise able to enter into a contract. You are responsible for what happens under your account. Team owners decide who belongs to their team and what each person may do; the assistant never does more for a person than their permissions allow.
3. Your content, code and data
You keep all rights in your websites, apps, code, texts, images, domains and data ("Customer Content"). You give us the limited right to store, process, copy and transmit Customer Content only as needed to provide the Service — including sending relevant parts to the AI provider that powers the assistant (see the Privacy Policy). You can download the code of hosted apps at any time. Domains we register for you are registered in your name.
You confirm that you have the right to connect the websites and accounts you connect, and to use the content you upload.
4. AI-generated changes
The assistant can make mistakes. Changes are drafts until you publish them, and you are responsible for reviewing them — in particular legal texts, prices, personal data and code. Plugin installations and other changes that run new code on your site require your explicit confirmation. Previous versions are kept so changes can be undone, but you should keep your own backups of important websites.
5. Acceptable use
You may not use the Service or hosted apps to break the law, infringe rights, send spam, distribute malware, phish, attack other systems, or try to get around the Service's limits or security. We may suspend content or accounts that do so, where possible after notice. The details are in our Acceptable Use Policy, which is part of these Terms and which you and your team must follow.
6. Plans, fees and payment
Plans and prices are shown in the app under Billing and on our website, in Swiss francs. Usage beyond what a plan includes — for example the assistant beyond the included monthly budget, e-mails beyond the included number, managed databases and domains — is charged as shown there, monthly in arrears. Subscriptions renew each month until cancelled; you can cancel at any time with effect from the end of the current period. Prices exclude Swiss VAT, which is added where applicable. If you use Hoila from your own Claude or ChatGPT, the AI costs of that use are part of your own subscription with that provider.
7. Availability and changes
We aim for high availability but do not guarantee uninterrupted service. We may improve and change the Service; we will tell you in advance about changes that materially reduce what your plan includes.
8. Ending
You can stop using Hoila at any time and ask us to delete your account (legal@ampersand.ch). We may end the contract with 30 days' notice, or immediately for serious breaches or non-payment. After the end you can export your hosted apps' code and data for 30 days; then we delete Customer Content, except where the law requires us to keep records.
9. Liability
We provide the Service with reasonable care. To the extent permitted by law, we are not liable for indirect or consequential damage, lost profit or lost data, and our total liability is limited to the fees you paid us in the twelve months before the event. Liability for intent and gross negligence remains unaffected.
10. Data protection
How we handle personal data is described in the Privacy Policy. Where we process personal data on your behalf — for example messages that visitors send through forms on your hosted apps — we do so as your processor under our Data Processing Agreement, which is part of these Terms.
11. Changes to these Terms
We may update these Terms. We will tell you about material changes at least 30 days in advance by e-mail or in the app. If you keep using the Service after they take effect, the new Terms apply.
12. Law and jurisdiction
These Terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Zurich, Switzerland, have exclusive jurisdiction, subject to mandatory consumer protection rules.
